docCentral Terms of Use (“Terms of Use”)

Thank you for visiting https://doccentral.e01.app.gov.sg (“docCentral”). docCentral is a Central Provident Fund Board (“CPFB”) online platform which provides you with tools to manage your documents (“Services”).

A. General

  1. PLEASE READ​​ THESE TERMS OF USE CAREFULLY. By accessing docCentral and/or using the Services, you agree to be legally bound by these Terms of Use.

  2. In case of any violation of these Terms of Use, CPFB reserves the right to seek all remedies available by law and in equity for such violations. These Terms of Use apply to all access to docCentral and/or use of the Services, both now and in the future.

  3. CPFB reserves the right to change these Terms of Use from time to time at its sole discretion. All changes will be posted on this page, and your access to and/or use of docCentral after such changes have been posted will constitute your agreement to the modified Terms of Use and all of the changes. ​

B. ​​​​​​​​​​​​​​​​​​​​P​​roprietary Rights​

  1. docCentral is owned and operated by CPFB. CPFB shall retain all right, title, and interest in docCentral and the Services, and all legally protectable elements or derivative works therefrom. CPFB reserves the right, in its sole and absolute discretion, to update or modify docCentral and the Services (including ceasing or suspending any part of or all Services) from time to time without notice.​

  2. All rights, title and interest in docCentral and the Services are owned by, licensed to or controlled by CPFB.

  3. CPFB grants you a limited, non-transferable, non-exclusive, revocable license to access docCentral and/or use the Services. You shall not, whether directly or indirectly, sublicense, sell, lease, or otherwise transfer or grant third-party access to the Services at any time.

  4. The license granted to you in Clause 6 is for the sole purpose of enabling you to use and enjoy the benefit of the Services, in the manner permitted by these Terms of Use. You agree not to use the Services for any other purpose. You may keep, for your own personal or business-related records, electronic and physical copies of documents you have created through the Services. Resale or unauthorised distribution of the Services, materials or documents is strictly prohibited.

  5. You shall retain all right, title and interest in and to the legally protectable elements of the document uploaded, submitted, or posted by you to docCentral. You grant CPFB a worldwide, limited, non-exclusive, royalty-free license to process, host, copy, transmit, display, modify, adapt, distribute, reproduce, use and sublicense the document uploaded, submitted, or posted by you to docCentral for the purposes of providing the Services, in any and all media or distribution methods (whether now known or later developed).

D. Restrictio​ns on​​​ Use ​of Services​

  1. Graphics and images on docCentral are protected by copyright and may not be reproduced or appropriated in any manner without the prior written consent of their respective copyright owners.

  2. The design and layout of docCentral is protected by intellectual property and other laws and may not be copied or imitated in whole or in part. No logo, graphic, sound, image or search engine from docCentral may be copied or transmitted for commercial purpose (including where the commercial aspect forms only part of the purpose) unless you receive prior written consent from CPFB.

E. ​Exclusion of Liability

  1. The Services are provided on an “as is” and “as available” basis without warranties of any kind, and are of a general nature. Neither CPFB nor any third party content providers is responsible for any errors or omissions, or for the results obtained from the use of the Services.​

  2. Neither CPFB nor any third party content providers warrants that the Services or any functions associated therewith will be uninterrupted or error-free, or that defects will be corrected or that docCentral and the server is and will be free of all viruses and/or other malicious, destructive or corrupting code, programme or macro.​

  3. No warranty of any kind, express, implied or statutory (including but not limited to, warranties of title, merchantability, satisfactory quality, non-infringement of third-party intellectual property rights, fitness for a particular purpose and freedom from computer virus), is given in conjunction with the Services, or with docCentral in general.

  4. In no event shall CPFB or any third party content providers be liable for:

    (a) damages, expenses, costs or loss of any kind (including without limitation, any direct, or indirect, special, incidental or consequential damages, loss of profits or loss of opportunity) howsoever caused as a result (direct or indirect) of, or in connection with, your use of and/or reliance on the Services, regardless of the form of action; and

    (b) any failure of performance, system, server or connection failure, interruption, defect, error, omission, delay in operation or transmission, breach of security, malicious code, computer virus or inability or unavailability to access docCentral and/or use the Services, even if CPFB or the third party content providers had been advised as to the possibility of the above.​

F. ​Disclaimer​

  1. CPFB is not responsible for, and shall not be liable for any damage or harm resulting from any document uploaded, submitted, or posted by you. You are solely responsible for such documents.

  2. By uploading, submitting and posting document(s) to docCentral, you further represent and warrant that:

    (a) you have all right, title, license and authority to upload, submit and post the document, including the right to publish and distribute by electronic and digital means, and

    (b) the document does not:

     (i) violate, infringe or misappropriate on the rights associated with any third parties, including, but not limited to, privacy rights, copyright, trademark, trade secrets, patents or other intellectual property rights of any third party; or

     (ii) violate any statute, law, ordinance or regulation.

  3. CPFB reserves the right to review, edit, refuse to upload, delete, disable access to, or otherwise make unavailable any document, without notice in its sole and absolute discretion.

G. ​​​Right of​ Access​

  1. CPFB reserves all rights to deny or restrict access to docCentral to any particular person, or to block access from a particular Internet address to docCentral, at any time, without having to give any reason or prior notice thereof.​

  2. ​You agree that you will not:

    (a) use any robot, spider, other automatic device, or manual process to monitor or copy any pages other than for non-commercial purpose within docCentral or the Services without CPFB's prior written permission;

    (b) use any device, software or routine to interfere or attempt to interfere with the proper working of docCentral; and/or

    (c) take any action that imposes an unreasonable or disproportionately large load on CPFB’s servers.

H. Confidentiality

  1. As a result of using the Services, you may provide information, including the terms of any document, on docCentral (“Confidential Information”).

  2. CPFB agrees not to disclose any Confidential Information to any third party for any reason without your prior written consent. You understand and agree that CPFB’s employees shall be able to access and review the Confidential Information to enable the delivery of the Services in accordance with these Terms of Use.

  3. CPFB may disclose any Confidential Information:

    (a) for the purpose of:

     (i) the examination and certification of CPFB’s accounts; or

     (ii) any examination pursuant to the Audit Act 1966; or

    (b) to:

     (i) any government department or any other public authority. All government departments or public authorities receiving such Confidential Information shall be entitled to further disclose the Confidential Information to other government departments or other public authorities; or

     (ii) any person engaged in providing any services to CPFB for any purpose relating to or ancillary to the Services, including its legal advisors, auditors and consultants;

except that in disclosing information under Clause 25(b), CPFB shall require that the information is treated in confidence.

I. Hyperlinks to Third Party Sites

  1. docCentral contains hyperlinks to websites which are not maintained nor controlled by CPFB. CPFB shall not be responsible for the contents of those websites and shall not be liable for any damages or loss arising from access to those websites. Use of the hyperlinks and access to such websites are entirely at your own risk.​

  2. All hyperlinks to other websites are provided as a convenience to you as a user of docCentral. The inclusion of any hyperlink does not imply endorsement by CPFB of such websites. In no circumstances shall CPFB be considered to be associated or affiliated in whatever manner with any trade or service marks, logos, insignia or other devices used or appearing on websites to which docCentral is linked.

J. ​​​Hyperlinks to docCentral fro​​​m Other Websites​​

  1. Except as set forth below, caching and links to, and the framing of docCentral or any of the Services are prohibited.​​​

  2. Linking to the Homepage: You may link to the Homepage of docCentral, upon notifying CPFB in writing.​

  3. Hyperlinking to an internal page of docCentral: You must make a specific request for, and secure permission from CPFB prior to hyperlinking to, or framing, docCentral or any of the Services, or engaging in similar activities. CPFB reserves the right to impose conditions when permitting any hyperlinking to, or framing of docCentral or any of the Services.​

  4. Your linking to, or your framing of docCentral or any of the Services constitute acceptance of these Terms of Use. This is deemed to be the case even after the posting of any changes or modifications to these Terms of Use. If you do not accept these Terms of Use, you must discontinue linking to, or framing of docCentral or any of the Services.

  5. Under no circumstances shall CPFB be considered to be associated or affiliated in any manner with any trade or service marks, logos, insignia or other devices used or appearing on websites that link to docCentral or any of the Services.

  6. CPFB reserves all rights to disable any links to, or frames of any site containing inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topics, names, material or information, or material or information that violates any written law, any applicable intellectual property, proprietary, privacy or publicity rights.

  7. CPFB reserves the right to disable any unauthorised links or frames and disclaims any responsibility for the contents available on any other website reached by links to or from docCentral or any of the Services.

  8. CPFB reserves the right to amend or change the URL of docCentral. Under no circumstances is CPFB obliged to inform or give prior notice to third parties who had hyperlinked to docCentral about the amendment or change of docCentral’s URL.

K. Governing law

  1. These Terms of Use shall be governed and construed in accordance with laws of the Republic of Singapore.

L. Waiver

  1. The failure or delay of either party to exercise any right, power or privilege under these Terms of Use will not operate as a waiver thereof.

M. Severability

  1. In the event any provision in these Terms of Use is determined to be illegal, invalid or unenforceable, in whole or in part, such provision or part of it shall, to the extent it is illegal, invalid or unenforceable, be deemed not to form part of these Terms and Use and the legality, validity and enforceability of the remainder of these Terms of Use shall not be affected.

N. Entire Agreement

  1. These Terms of Use contains the entire and whole agreement between you and CPFB relating to docCentral and the Services, and supersedes all prior written or oral commitments, representations, arrangements, understandings or agreements between you and CPFB.
